Master Service Agreement
This Master Service Agreement ("Agreement") is entered into by and between Sowa Marketing Agency LLC ("Agency") and the entity submitting this form, [Client Company Name] ("Client").
1. Services Provided
Agency agrees to provide custom website design and development services (limited to: Home page, Services page, About Us page, Blog page, and Contact Us page). The Client is allowed up to two (2) rounds of edits to the website. If selected, Agency will also provide AI Agent integration, Google Reviews Reputation Management, Reactivation Campaigns, CRM, Google My Business Management, Premium Pages & Animations, and/or Google Ads Management.
2. Compensation & Fees
Client agrees to pay a one-time setup fee of $500.00 USD for the initial website build. Client further agrees to a recurring monthly fee of $100.00 USD for ongoing hosting, updates, and support. The first month's hosting fee is due upon signing. All payments are due upfront. Acceptable payment methods include wire transfer, ACH, credit card, check, or cryptocurrency, with credit card being the default method. Any missed or late payments will be subject to a 20% late fee.
3. Ads & Account Management
For Google Ads or Google My Business Management services, there is no guarantee of specific results or returns. The Client is solely responsible for all ad spend, which is billed directly by the advertising platforms, not the Agency. The Client must provide the Agency with full access to the required advertising accounts while ads are being managed.
4. Communication
All communication regarding the services will be conducted during standard business hours (Monday to Friday, 9:00 AM to 5:00 PM EST) via text at 401-219-4207 or email at aidansowa@sowaagency.com.
5. Term, Delivery, and Termination
This Agreement shall begin on the date provided by the Client below (2026-06-02) and continue on a month-to-month basis. Agency agrees to deliver all selected services within two (2) weeks of the start date and receipt of all required initial payments. Either party may end this Agreement at any time by providing thirty (30) days prior written notice.
6. Intellectual Property
Upon final payment of the setup fee, Client shall own all rights to the final website design. Agency retains the right to use the completed project in its portfolio.
7. Limitation of Liability
In no event shall Agency be liable for any indirect, special, incidental, or consequential damages, including lost profits, arising out of or in connection with the services provided. Agency's total liability under this Agreement shall never exceed the total fees paid by Client in the three (3) months preceding any claim.
8. No-Refund Policy
All sales are final. Due to the custom nature of the digital services, immediate allocation of resources, and proprietary setup processes, Agency does not offer refunds, partial or full, for any setup fees, monthly recurring fees, or AI Agent / Reputation add-ons under any circumstances.
9. Indemnification
Client agrees to indemnify, defend, and hold harmless Agency, its officers, members, and employees from any claims, damages, losses, or liabilities arising out of Client's use of the website, provided services, or any breach of this Agreement.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions.
11. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. All disputes shall be handled in Rhode Island. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
12. Force Majeure
Neither party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any obligation under this Agreement when such failure or delay is caused by or results from causes beyond the reasonable control of the affected party.
